1. Acceptance of Terms

This Terms of Service agreement ("Terms") is a legally binding contract between you and Zingr AI ("we," "our," "us"). These Terms govern your access to and use of our website, services, and applications (collectively, the "Services"). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Services.

2. User Accounts

To access certain features, you may need to create an account. You are responsible for safeguarding your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. You must be at least 16 years old to create an account and use the Services.

3. User-Generated Content

3.1. Your Content, Your Responsibility

You are solely responsible for the images, text, and other content you upload, post, or transmit through our Services ("User Content"). This includes ensuring you have all necessary rights to your User Content and that it does not violate any laws or these Terms.

3.2. License You Grant to Us

You retain all ownership rights to your User Content. However, by submitting User Content to the public-facing areas of the Service (such as the public feed), you grant Zingr AI a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and perform your User Content in connection with operating and providing the Services. This license is solely for the purpose of displaying your shared roast on our public feed. If you remove your shared content, this license is terminated.

4. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Uploading or sharing any User Content that is illegal, defamatory, libelous, obscene, pornographic, hateful, violent, or incites violence or discrimination.
• Using the Services for any unlawful purpose or in violation of any local, state, national, or international law.
• Harassing, threatening, or defrauding other users.
• Uploading content that contains viruses, malware, or other malicious code.
• Attempting to interfere with the proper functioning of the Service, including circumventing security features.

Violation of these rules may result in immediate suspension or termination of your account at our sole discretion.

5. Disclaimers and Limitation of Liability

5.1. Service Provided "As Is"

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE ROASTS GENERATED BY OUR AI ARE FOR ENTERTAINMENT PURPOSES ONLY AND SHOULD NOT BE TAKEN SERIOUSLY. WE DO NOT WARRANT THAT THE ROASTS WILL BE ACCURATE, HUMOROUS, OR NON-OFFENSIVE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

5.2. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZINGR AI, ITS DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

6. Indemnification

You agree to defend, indemnify, and hold harmless Zingr AI and its employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to the Service, or your violation of any term of these Terms.

7. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including, without limitation, a breach of these Terms. If you wish to terminate your account, you may simply discontinue using the Service or delete your account through the available settings.

8. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved through binding arbitration in Wilmington, Delaware, except that you may assert claims in small claims court if your claims qualify.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
